Terms of service

These Terms and Conditions (“Terms”) apply to all quotations, orders, sales, services and use of the Global Lab Supplies website by customers of Global Lab Supplies (“GLS”, “we”, “us” or “our”). 

By accessing our website, creating an account, requesting or accepting a quotation, placing an order or purchasing goods or services from GLS, you agree to these Terms. 

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law. 

1. Acceptance of Terms 

These Terms apply to all dealings between GLS and the Customer (“you” or “your”). 

Any terms proposed by the Customer that differ from these Terms will not apply unless expressly agreed by GLS in writing. 

Any variation to these Terms for a particular transaction must be agreed in writing. 

2. Customer Accounts 

You must provide accurate, current and complete information when creating an account, requesting a quotation or placing an order. 

You are responsible for maintaining the confidentiality and security of your account credentials and for authorised activities conducted through your account. 

You must notify GLS promptly if you become aware of unauthorised access to your account. 

3. Orders and Acceptance 

All orders are subject to acceptance by GLS. 

Submitting an order constitutes an offer to purchase the relevant goods or services. 

GLS may accept or reject an order, including where: 

  • Stock is unavailable; 
  • A manufacturer or supplier cannot supply the product; 
  • A product has been discontinued; 
  • There is a pricing or product-information error; 
  • Import restrictions apply; 
  • Minimum order quantities apply; 
  • Payment cannot be processed; or 
  • GLS has reasonable concerns regarding the Customer's ability to pay. 

Customers must carefully check product codes, specifications and quantities before submitting an order. 

Once an order has been accepted, cancellation is subject to GLS approval. 

4. Pricing and GST 

Unless otherwise stated: 

  • All prices are in Australian Dollars (AUD); 
  • Prices are exclusive of GST; 
  • GST will be added where applicable; and 
  • Freight, handling and other applicable charges may be charged separately. 

Prices may change without notice before an order is accepted. 

GLS may correct genuine typographical, calculation, pricing or data-entry errors. 

5. Quotations 

Unless otherwise stated, quotations are valid for 30 days from the date of issue. 

Quotations do not reserve stock. 

Products quoted as available from stock remain subject to availability when the Customer's purchase order is received. 

GLS may amend a quotation before acceptance to correct an error or reflect a material change in: 

  • Manufacturer or supplier pricing; 
  • Currency exchange rates; 
  • Import duties; 
  • International freight; 
  • Taxes; or 
  • Other import costs. 

6. Product Information and Specifications 

GLS makes reasonable efforts to ensure product descriptions, images, specifications and technical information are accurate. 

However, manufacturers may change product specifications, packaging, appearance, dimensions or other characteristics without notice. 

Product images are indicative only. 

GLS may discontinue products or limit quantities available. 

Where a product has been discontinued or superseded, GLS may propose an equivalent or successor product. Customer approval will be obtained before supplying a materially different substitute. 

The Customer is responsible for ensuring that the selected product is suitable for its intended application. 

7. Special Orders 

Products specifically purchased, manufactured, machined, cut, configured, modified, calibrated or imported for a Customer may be classified as Special Order Products. 

Once GLS has placed a Special Order with its manufacturer or supplier, cancellation or amendment is subject to GLS and supplier approval. 

Where cancellation is accepted, reasonable supplier charges, freight, currency losses and other non-recoverable costs may be charged to the Customer. 

Subject to Australian Consumer Law, Special Order Products and products specially imported for a Customer are generally not returnable for change of mind or incorrect ordering. 

8. Delivery and Freight 

GLS will make reasonable efforts to deliver products within estimated delivery timeframes. 

Delivery dates are estimates unless expressly guaranteed in writing. 

GLS is not responsible for reasonable delays caused by circumstances outside its control, including: 

  • Manufacturer delays; 
  • Supplier delays; 
  • Courier or freight delays; 
  • Customs processing; 
  • International shipping disruption; 
  • Port congestion; 
  • Government restrictions; 
  • Industrial action; or 
  • Natural events. 

Freight charges may vary depending on weight, dimensions, destination and handling requirements. 

Additional charges may apply to: 

  • Bulky or palletised goods; 
  • Dangerous goods; 
  • Refrigerated products; 
  • Temperature-controlled products; 
  • Fragile products; 
  • Remote-area deliveries; and 
  • Special or express freight. 

Products quoted as being in stock remain subject to availability when the order is accepted. 

9. Dangerous Goods and Refrigerated Products 

Certain laboratory products, chemicals and reagents may require specialised transportation, including dangerous-goods or temperature-controlled freight. 

Additional packaging, freight and handling charges may apply. 

Customers are responsible for ensuring they have suitable facilities and procedures for receiving, storing, handling, using and disposing of regulated products. 

Customers must follow applicable Safety Data Sheets, manufacturer instructions and legal requirements. 

10. Payment Terms 

Unless otherwise agreed, payment is required before dispatch. 

Approved account Customers must pay invoices within the payment terms specified on their account or invoice. 

GLS may change, suspend or withdraw credit facilities where reasonably necessary, including where: 

  • Accounts become overdue; 
  • Credit limits are exceeded; or 
  • There is a material deterioration in the Customer's creditworthiness. 

Further orders may be placed on hold while an account is overdue. 

11. Title and Risk 

Legal title to goods remains with GLS until full payment has been received. 

Until payment has been received, the Customer must, where reasonably practicable, keep unpaid goods identifiable as goods supplied by GLS. 

Risk in the goods passes to the Customer upon delivery to the Customer's nominated delivery location unless otherwise agreed in writing. 

12. Returns 

All returns require prior authorisation from GLS. 

Customers should contact GLS before returning any product and obtain return approval. 

Approved returns must generally: 

  • Be unused; 
  • Be in original condition; 
  • Be complete; 
  • Be in original packaging; 
  • Have packaging and seals intact where applicable; and 
  • Be suitable for resale. 

A reasonable restocking charge may apply to approved change-of-mind or incorrectly ordered returns. 

Return freight is the Customer's responsibility unless GLS supplied incorrect or defective goods or applicable law requires otherwise. 

13. Products That Cannot Normally Be Returned 

Subject to Australian Consumer Law, GLS may decline change-of-mind returns for: 

  • Special Order Products; 
  • Specially imported products; 
  • Custom-manufactured products; 
  • Products cut or modified to specification; 
  • Chemicals and reagents; 
  • Dangerous goods; 
  • Refrigerated or frozen products; 
  • Temperature-sensitive products; 
  • Opened sterile products; 
  • Products with limited shelf life; 
  • Expired or near-expiry products; 
  • Products with opened or compromised packaging; and 
  • Products that cannot safely or legally be resold. 

14. Shortages, Incorrect Deliveries and Damage 

Customers should inspect goods promptly after delivery. 

Any shortage, incorrect product or visible delivery damage should be reported to GLS as soon as reasonably practicable, preferably within 7 days of delivery. 

GLS may request photographs, packaging, delivery documentation, batch numbers, serial numbers or other information reasonably required to investigate the claim. 

GLS may inspect goods before determining a claim. 

Nothing in this section limits rights that cannot legally be excluded. 

15. Manufacturer Warranty 

Products supplied by GLS may be covered by the relevant manufacturer's warranty against defects in materials or workmanship. 

Warranty terms and periods vary between manufacturers. 

GLS will reasonably assist Customers with legitimate manufacturer warranty claims where appropriate. 

Manufacturer warranty coverage may not apply to damage caused by: 

  • Misuse; 
  • Incorrect installation; 
  • Improper storage; 
  • Contamination; 
  • Unauthorised modification; 
  • Accident; 
  • Normal wear and tear; or 
  • Failure to follow manufacturer instructions. 

Nothing in these Terms excludes rights under the Australian Consumer Law. 

16. Equipment Servicing and Repairs 

Where GLS provides or arranges equipment assessment, servicing or repair, inspection, diagnostic, freight or service charges may apply. 

Where a quotation is requested and the Customer decides not to proceed with the repair, an inspection or assessment fee may apply where disclosed beforehand. 

Customers are responsible for backing up any data stored on equipment before providing equipment for servicing. 

GLS is not responsible for loss of data during legitimate repair or servicing activities to the extent permitted by law. 

17. Installation 

Unless otherwise agreed in writing, installation is the Customer's responsibility and expense. 

The Customer is responsible for ensuring that appropriate utilities and facilities are available, including where applicable: 

  • Electrical supply; 
  • Water; 
  • Drainage; 
  • Compressed air; 
  • Ventilation; and 
  • Appropriate access. 

Installation must be undertaken by suitably qualified personnel where required by law or manufacturer instructions. 

18. Debt Recovery 

GLS may suspend supply where invoices become overdue. 

To the extent permitted by law, the Customer may be responsible for reasonable costs incurred by GLS in recovering overdue amounts, including debt-collection and legal costs. 

19. Website Use 

The GLS website must only be used for lawful purposes. 

Users must not: 

  • Attempt unauthorised access to the website or systems; 
  • Upload or distribute malware or malicious code; 
  • Interfere with website security; 
  • Use the website fraudulently; 
  • Impersonate another person or organisation; 
  • Infringe intellectual-property rights; 
  • Collect personal information unlawfully; or 
  • Use automated methods in a manner that materially disrupts or damages the website. 

GLS may restrict or terminate website access where these Terms are materially breached. 

20. Intellectual Property and Trademarks 

Content owned by GLS on its website, including original text, graphics, logos and layouts, is owned by or licensed to GLS and protected by applicable intellectual-property laws. 

Manufacturer names, product names, trademarks and logos remain the property of their respective owners. 

References to third-party brands and trademarks are for identification purposes and do not imply ownership by GLS. 

GLS website materials must not be commercially reproduced or distributed without permission where permission is legally required. 

21. Third-Party Links and Tools 

The GLS website may contain links to manufacturer websites, technical resources and third-party services. 

GLS does not control third-party websites and is not responsible for their content, security, availability, accuracy or privacy practices. 

Customers should review the applicable terms and policies before using third-party websites or services. 

22. Shopify and Online Store 

Where the GLS online store is hosted or supported by Shopify, Shopify provides technology used to operate the online store. 

The purchase and sale of products remains a transaction between the Customer and GLS. 

Information may be processed by Shopify, payment providers, freight providers and other service providers where reasonably necessary to operate the store and complete transactions. 

23. Privacy 

GLS may collect and use Customer information for legitimate business purposes including: 

  • Providing quotations; 
  • Processing orders; 
  • Managing accounts; 
  • Processing payments; 
  • Arranging deliveries; 
  • Providing customer and technical support; 
  • Processing warranty claims; 
  • Preventing fraud; 
  • Marketing where permitted; and 
  • Meeting legal obligations. 

Personal information will be handled in accordance with applicable Australian privacy laws and the GLS Privacy Policy. 

24. Feedback and Reviews 

Customers may submit feedback, suggestions or product reviews. 

Customers must not knowingly submit content that is unlawful, defamatory, misleading, infringing or malicious. 

Customers confirm that they have the right to provide any content submitted to GLS. 

Subject to applicable law, GLS may use legitimate Customer reviews and feedback for business, service-improvement and promotional purposes. 

25. Website Errors and Omissions 

Website information may occasionally contain errors or omissions relating to: 

  • Product descriptions; 
  • Specifications; 
  • Pricing; 
  • Promotions; 
  • Availability; 
  • Freight; 
  • Images; or 
  • Delivery estimates. 

GLS may correct genuine errors or inaccuracies. 

Where an error materially affects an order, GLS may contact the Customer to confirm the corrected information or cancel and refund the affected order where appropriate. 

26. Limitation of Liability 

Nothing in these Terms excludes, restricts or modifies liability that cannot lawfully be excluded or limited. 

To the extent permitted by law, GLS is not liable for indirect, incidental, special or consequential loss arising from the supply, delay or use of products or services, including loss of profit, revenue, production or business opportunity. 

Where liability can legally be limited, GLS's liability will be limited to the extent permitted by applicable law. 

27. Indemnity 

To the extent permitted by law, the Customer is responsible for loss or third-party claims reasonably arising from: 

  • A material breach of these Terms; 
  • Unlawful use of the GLS website; 
  • Infringement of third-party rights by material supplied by the Customer; or 
  • Unlawful or improper use of products supplied by GLS. 

This does not require the Customer to indemnify GLS for loss caused by GLS's own negligence, breach or unlawful conduct to the extent such responsibility cannot legally be transferred. 

28. Force Majeure 

GLS is not responsible for failure or delay caused by circumstances outside its reasonable control, including natural disasters, fire, flood, pandemic, war, industrial action, supplier failure, manufacturing delays, transport disruption, customs delays, port congestion or government restrictions. 

GLS will make reasonable efforts to minimise disruption. 

29. Cancellation 

Orders for standard stock products may only be cancelled before dispatch with GLS approval. 

Special Order Products or products already ordered from a manufacturer or supplier may not be cancelled unless GLS agrees in writing. 

Where cancellation is accepted, the Customer may be responsible for reasonable non-recoverable costs already incurred by GLS. 

30. Termination 

GLS may suspend or terminate a Customer's website account or access where the Customer materially breaches these Terms. 

Termination does not affect outstanding payment obligations or rights that arose before termination. 

31. Severability 

If any provision of these Terms is found to be invalid or unenforceable, it will be read down or severed to the minimum extent necessary without affecting the remaining provisions. 

32. Waiver 

Failure by GLS to immediately enforce a right under these Terms does not constitute a waiver of that right. 

33. Entire Agreement 

These Terms, together with any applicable quotation, accepted order, credit-account agreement, Privacy Policy, Returns Policy and other expressly incorporated GLS policies, constitute the agreement governing the relevant transaction. 

A specifically negotiated written agreement accepted by GLS will take precedence to the extent of any inconsistency. 

34. Assignment 

Customers may not assign their material rights or obligations under an accepted order without GLS's written consent. 

GLS may assign its rights or obligations as part of a genuine sale, transfer or restructuring of its business, subject to applicable law. 

35. Changes to Terms 

GLS may update these Terms from time to time. 

The Terms applying to an order will generally be those in effect when the order is accepted, unless otherwise agreed or required by law.
